The agreement governing use of the Kinematic platform — website, mobile applications, web dashboard and APIs. Please read carefully before using the service.
These Terms of Service ("Terms") form a binding agreement between Kaiyo Technology Labs ("Kinematic", "we", "us") and the person or organisation accessing or using the Kinematic platform ("you", "Customer"). By creating an account, signing an order form, installing the mobile app, or otherwise using the service, you agree to these Terms.
If you are accepting on behalf of an organisation, you confirm that you are authorised to bind that organisation.
kinematicapp.com), mobile applications, web dashboard, APIs, integrations and supporting services.Kinematic provides a software-as-a-service platform for managing field operations — including but not limited to GPS tracking, attendance, beat planning, lead management, supply chain workflows, AI-driven analytics (Kini AI), and related features.
The Service is delivered over the internet. We continuously improve, add and occasionally retire features. Material reductions in functionality covered by your Subscription Plan will be communicated at least 30 days in advance.
You are responsible for providing accurate registration information and keeping your credentials secure. Each Authorised User must have their own login; account sharing is not permitted.
The Customer is responsible for the acts and omissions of its Authorised Users and for ensuring those users comply with these Terms.
The Customer must obtain all necessary authorisations and consents from Authorised Users (typically employees and contractors) for the collection and processing of their personal data through the Service, including location data, photographs, voice commands and activity records. The Customer is the data fiduciary / controller for this data.
You agree not to, and not to permit any Authorised User to:
The Customer retains all ownership rights to Customer Data. We do not claim ownership over any data you submit.
The Customer grants us a non-exclusive, worldwide licence to host, store, process, transmit and display Customer Data solely to provide the Service, to develop and improve the Service in aggregated/anonymised form, and to comply with our legal obligations.
Our handling of personal data within Customer Data is governed by our Privacy Policy and any signed Data Processing Agreement. For enterprise customers, we sign DPAs aligned to DPDP Act 2023 and GDPR.
The Customer can export its data at any time during the subscription. Upon termination, we retain Customer Data for 30 days (for re-instatement), after which we delete it from production systems within 90 days. Backups are purged within 12 months on the standard backup-rotation cycle.
Fees are based on the selected Subscription Plan and the number of paid Authorised Users (Field Executives). Administrator and supervisor seats are included free.

Invoices are billed in advance — monthly or annually based on plan. Payment is due within 15 days of invoice. Overdue invoices accrue interest at 1.5% per month or the maximum allowed by law, whichever is lower. We may suspend the Service for accounts more than 30 days overdue.
All fees are exclusive of applicable taxes (GST, withholding tax), which are the Customer's responsibility.
We offer a 7-day free trial of the Service. During the trial period:
Trial accounts are subject to fair-use limits to prevent abuse.
The Service, including all software, design, branding, documentation and content created by us, is and remains the exclusive property of Kaiyo Technology Labs and its licensors. We grant you a limited, non-exclusive, non-transferable licence to use the Service for the duration of your subscription.
If you provide feedback, suggestions or ideas about the Service, you grant us a perpetual, royalty-free licence to use that feedback to improve the Service, with no obligation to compensate or credit you.
"Kinematic", "Kini AI", the Kinematic mark and other associated branding are trademarks of Kaiyo Technology Labs. You may not use them without prior written permission.
The Service integrates with or relies on third-party services, including (without limitation):
These third-party services are governed by their own terms and privacy policies. We are not responsible for outages, content, or actions of third-party providers. Where you choose to enable an integration (e.g. linking your CRM, ERP or WhatsApp business account), you authorise us to exchange data with that integration solely to deliver the integrated functionality.
We target 99.5% monthly uptime for the production Service, excluding scheduled maintenance windows and force majeure events. Enterprise customers may have a separately negotiated SLA with credit terms; in such cases, the SLA prevails over this section.
Planned maintenance is announced at least 48 hours in advance and scheduled during off-peak hours wherever possible.
Support is provided via s@kinematicapp.com on business days. Enterprise customers may have access to faster response SLAs.
We warrant that we will provide the Service with reasonable skill and care, and that the Service will substantially conform to its documentation.
Except as expressly stated, the Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all other warranties — express, implied or statutory — including warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Service will be uninterrupted, error-free, or meet every specific requirement of every customer. AI-generated outputs (including Kini AI) may contain inaccuracies and should be verified before being used for material decisions.
To the maximum extent permitted by law:
The Customer agrees to defend, indemnify and hold us harmless from any claims, damages, liabilities and costs (including reasonable legal fees) arising out of:
We will defend the Customer against any third-party claim that the Service (as provided by us, without modification) infringes that third party's intellectual property rights in India, and pay any damages finally awarded — subject to the Customer notifying us promptly and granting us control of the defence.
These Terms begin when you first accept them and continue until terminated. Subscriptions auto-renew at the end of each billing cycle unless cancelled.
Either party may terminate a subscription at the end of the then-current billing period by providing at least 30 days' written notice. Fees already paid are non-refundable except where required by law.
Either party may terminate immediately on written notice if the other party:
On termination: (a) the Customer's right to access the Service ends; (b) all outstanding fees become immediately due; (c) we retain Customer Data for 30 days for re-instatement, after which deletion proceeds as described in Section 6.4; (d) clauses that by their nature survive termination (e.g. IP, liability, indemnity, governing law) continue in force.
We may update these Terms from time to time. For material changes, we provide at least 30 days' notice by email and in-product banner. Continued use of the Service after the effective date constitutes acceptance. If you do not agree to the change, you may terminate as described above.
These Terms are governed by the laws of India, without regard to conflict-of-law rules.
Any dispute, controversy or claim arising out of or relating to these Terms will be resolved by binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 of India, by a sole arbitrator appointed by mutual agreement (failing which by the appointing institution). The seat of arbitration is New Delhi, India, and the language of arbitration is English. The courts at New Delhi have exclusive jurisdiction for any matter not subject to arbitration.
